Welcome to djsc.net (the "Site"), operated by DJSC, LLC ("DJSC," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of the Site, and, where applicable, your engagement of DJSC's consulting, implementation, and managed services (collectively, the "Services"), including but not limited to Accela Civic Platform implementation and managed services, Salesforce for Government solutions, and Jira Service Management configuration and support.

By accessing or using the Site, or by executing a Service Contract, Statement of Work, or Managed Application Services Policy referencing these Terms, you ("Client," "you," or "your") agree to be bound by these Terms. If you do not agree, please do not use the Site or engage DJSC's Services.

 

1. About DJSC, LLC

DJSC, LLC is a government technology consulting firm founded in 2004, providing specialized services to state and local government agencies and related organizations. DJSC maintains offices in West Orange, New Jersey; Durham, North Carolina; Atlanta, Georgia; Wheeling, West Virginia; and Carriacou, Grenada.

 

2. Scope of These Terms

These Terms apply to:

  • General use of the djsc.net website, including content, resources, white papers, and case studies made available on the Site;

  • Inquiries, contact form submissions, and requests for proposals submitted through the Site; and

  • The general relationship between DJSC and its clients, which is further governed by the specific Service Contract, Statement of Work (SOW), or Managed Application Services Policy executed between DJSC and the Client for a given engagement.

In the event of a conflict between these Terms and a signed Service Contract, Statement of Work, or Managed Application Services Policy, the terms of that executed agreement will control with respect to the specific engagement it governs.

 

3. Use of the Website

You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Site in any way that violates applicable federal, state, local, or international law or regulation;

  • Attempt to gain unauthorized access to any portion of the Site, related systems, or networks;

  • Interfere with or disrupt the integrity or performance of the Site;

  • Use any automated system (bots, scrapers, or similar) to access the Site without our prior written consent; or

  • Transmit any material that is unlawful, harassing, defamatory, or otherwise objectionable.

 

4. Intellectual Property

All content on the Site — including text, graphics, logos, white papers, case studies, the "software fit gap" framework, and other proprietary methodologies developed by DJSC — is the property of DJSC, LLC or its licensors and is protected by U.S. and international copyright, trademark, and other intellectual property laws.

You may view, download, and print content from the Site for your own internal, non-commercial reference purposes. You may not reproduce, distribute, modify, publicly display, or create derivative works from any Site content, or use DJSC's proprietary frameworks or methodologies for commercial purposes, without DJSC's prior written consent.

 

5. Professional Services Engagements

Any Services provided by DJSC — including Accela Civic Platform implementation and managed services, Salesforce for Government configuration, Jira Service Management setup, fractional CTO/CIO advisory, or related consulting — are governed by a separately executed Service Contract and, where applicable, a Managed Application Services Policy, which set forth in detail:

  • Scope of work, deliverables, and acceptance criteria;

  • Fees, invoicing, and payment terms (including DJSC's tiered managed services pricing structure);

  • Service Level Agreements (SLAs), where applicable;

  • Term, termination, and change order procedures;

  • Confidentiality and data handling obligations; and

  • Limitation of liability and indemnification provisions.

Nothing on this Site constitutes an offer to provide Services on terms other than those set forth in a mutually executed written agreement.

 

6. Client Data and Confidentiality

DJSC recognizes that our government and public-sector clients handle sensitive and regulated data. Confidentiality, data protection, and information security obligations applicable to a specific engagement are set forth in the governing Service Contract and any applicable Data Processing Addendum, Business Associate Agreement, or similar instrument. This general Terms and Conditions page does not itself establish data processing obligations; please refer to your executed agreement or our Privacy Policy for information about how we handle personal information collected through this Site.

 

7. No Professional Advice via the Website

Content on the Site — including white papers, case studies, blog posts, and thought leadership articles — is provided for general informational purposes only and does not constitute legal, financial, procurement, or professional consulting advice specific to your organization. You should not rely on Site content as a substitute for engaging DJSC (or another qualified advisor) to evaluate your specific circumstances.

 

8. Third-Party Links and Platforms

The Site may reference or link to third-party platforms (including Accela, Salesforce, and Atlassian/Jira products) for informational purposes. DJSC does not control and is not responsible for the content, terms of use, or privacy practices of any third-party platform. Your use of any third-party platform is governed by that provider's own terms.

 

9. Disclaimer of Warranties

THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. DJSC DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

 

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, DJSC, LLC AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE. Liability arising from professional Services engagements is governed exclusively by the limitation of liability provisions in the applicable Service Contract.

 

11. Indemnification

You agree to indemnify and hold harmless DJSC, LLC, its members, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your misuse of the Site or violation of these Terms. Indemnification obligations related to Services engagements are governed by the applicable Service Contract.

 

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of laws principles, unless a specific Service Contract or Statement of Work with a government client specifies otherwise (e.g., pursuant to state procurement requirements).

 

13. Changes to These Terms

DJSC may revise these Terms from time to time. The "Last Updated" date at the top of this page reflects the most recent revision. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms.

 

14. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
